1. Introduction
These Terms and Conditions govern your use of the services provided by Gostrata Ltd ("the Company", "we", "us", or "our"), a company incorporated under the International Business Companies Act, 2016 of the Republic of Seychelles (Company No. 248465). By accessing our services, you agree to be bound by these terms.
2. Services
Gostrata Ltd provides web marketing, digital advertising, analytics, and consulting services. Our services include, but are not limited to, search engine optimization (SEO) and content strategy, performance marketing and paid advertising management, web analytics and data-driven insights, website design and development, social media management, and international market consulting.
3. Eligibility
To use our services, you must be at least 18 years of age, have the legal capacity to enter into binding agreements, and represent a legitimate business entity or act in an individual professional capacity. We reserve the right to verify your identity and eligibility at any time.
4. Client Obligations
When engaging our services, you agree to provide accurate, current, and complete information as required for the delivery of services. You are responsible for providing timely access to relevant platforms, accounts, and materials necessary for the execution of agreed-upon marketing activities. You retain full ownership and responsibility for the content and assets provided to us.
5. Service Delivery
Gostrata Ltd will perform services with reasonable skill and care in accordance with the scope defined in the relevant service agreement. While we strive to achieve the best possible results, we do not guarantee specific outcomes, rankings, or performance metrics, as these depend on various factors beyond our control.
6. Payment Terms
Payment terms, fees, and billing schedules will be outlined in the individual service agreement. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. We reserve the right to suspend services in the event of non-payment.
7. Intellectual Property
All content, methodologies, tools, trademarks, and other intellectual property developed or used by Gostrata Ltd remain the property of the Company unless explicitly transferred in writing. Client-provided materials remain the property of the client. Deliverables created specifically for the client will be assigned upon full payment of applicable fees.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information, business strategies, client data, and other confidential materials shared during the course of the engagement. This obligation survives the termination of any service agreement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Gostrata Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the fees paid by you to the Company in the twelve months preceding the claim.
10. Termination
Either party may terminate a service engagement with 30 days' written notice unless otherwise specified in the service agreement. Upon termination, you are responsible for payment of all services rendered up to the termination date. We will provide reasonable assistance in transitioning services.
11. Amendments
Gostrata Ltd reserves the right to amend these Terms and Conditions at any time. Changes will be effective upon posting on our website. Your continued use of our services after any modifications constitutes your acceptance of the revised terms.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Seychelles. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Seychelles.
